Terms of Service

These Terms of Service ("Terms") govern access to and use of LovingSteps ("LovingSteps," "we," "us," or "our"), including our website, web application, mobile application, and related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, therapy practice, company, or other legal entity, you represent that you have authority to bind that organization to these Terms.
1. The Services
LovingSteps provides software for ABA therapy practices and related care organizations to manage clients, therapists, guardians, schedules, clinical documentation, authorizations, billing workflows, operational dashboards, audio note workflows, and related administrative functions.
LovingSteps is a software platform. We do not provide medical, clinical, legal, billing, payer, compliance, tax, or financial advice.
2. Accounts and Authorized Users
Users may need an account to access the Services. You agree to provide accurate information and keep your login credentials secure. Customer organizations are responsible for:
- Selecting and managing their authorized users.
- Assigning appropriate roles and permissions.
- Removing access for users who should no longer use the Services.
- Ensuring users comply with these Terms and applicable laws.
3. Customer Responsibilities
Customers and users are responsible for the information they enter into the Services and for how they use the Services. You agree to:
- Use the Services only for lawful business, healthcare, billing, and operational purposes.
- Maintain appropriate consents, notices, authorizations, and legal authority for information entered into the Services.
- Review clinical documentation, generated notes, transcripts, billing information, and reports before relying on them.
- Ensure that use of the Services complies with applicable healthcare, privacy, employment, billing, payer, and professional requirements.
4. Healthcare and PHI
The Services may process protected health information ("PHI") or other health-related information when used by healthcare providers or therapy practices.
If LovingSteps acts as a business associate under HIPAA, PHI-related obligations will be governed by a separate Business Associate Agreement ("BAA") between LovingSteps and the applicable covered entity or business associate. If these Terms conflict with a signed BAA regarding PHI, the BAA controls for that PHI-related issue.
Customers remain responsible for their own HIPAA compliance, patient notices, clinical decisions, documentation practices, billing practices, payer submissions, and professional obligations.
5. No Medical or Clinical Advice
LovingSteps does not diagnose, treat, recommend treatment, determine medical necessity, or make clinical decisions.
Any clinical content, session note, treatment-plan-related information, transcript, generated summary, dashboard, or report produced or stored through the Services must be reviewed and approved by qualified professionals before use.
6. Audio, Transcription, and Generated Content
The Services may include features that record audio, transcribe audio, generate draft notes, summarize information, or assist with documentation. You are responsible for:
- Obtaining any legally required consent before recording audio.
- Ensuring recordings are appropriate and authorized.
- Reviewing transcripts, summaries, generated notes, and other outputs for accuracy.
- Correcting inaccurate, incomplete, or inappropriate content before relying on it.
7. Acceptable Use
You may not use the Services to:
- Violate any law, regulation, contract, privacy obligation, or third-party right.
- Access, use, disclose, or attempt to obtain information without authorization.
- Upload malware, harmful code, or disruptive content.
- Interfere with the security, integrity, or availability of the Services.
- Reverse engineer, scrape, copy, resell, or misuse the Services except as allowed by law or written agreement.
- Use the Services to build a competing product.
- Misrepresent your identity, organization, credentials, or authority.
- Enter information that you do not have the right to process through the Services.
8. Customer Data
Customer Data means information submitted to the Services by or on behalf of a customer, including client, guardian, therapist, scheduling, documentation, billing, and operational information.
Customers retain ownership of their Customer Data. LovingSteps may use Customer Data only as needed to provide, maintain, secure, and support the Services; troubleshoot and improve service functionality; comply with legal, contractual, security, and audit obligations; and perform other activities authorized by the customer or applicable agreement.
We do not sell Customer Data.
9. Privacy and Third-Party Services
Our collection and use of information is described in our Privacy Policy. The Privacy Policy is part of these Terms but does not replace any BAA or healthcare provider Notice of Privacy Practices.
The Services may integrate with or rely on third-party services, such as hosting, authentication, storage, communications, analytics, diagnostics, transcription, AI, payment, clearinghouse, or billing-related providers. We are not responsible for third-party services that are not controlled by LovingSteps.
10. Fees, Payment, and Availability
Fees, billing cycles, payment terms, subscription plans, and usage limits may be described in an order form, invoice, subscription checkout, written agreement, or other ordering document.
Unless otherwise stated in writing, fees are due according to the applicable order or invoice, customers are responsible for applicable taxes, failure to pay may result in suspension or termination of access, and fees are non-refundable except as required by law or expressly agreed in writing.
We work to keep the Services reliable and secure, but we do not guarantee uninterrupted or error-free operation. The Services may be unavailable from time to time due to maintenance, updates, security work, outages, third-party failures, or events outside our control.
11. Security and Confidentiality
We use reasonable administrative, technical, and organizational safeguards designed to protect information processed through the Services. Customers and users are responsible for protecting account credentials, managing access permissions, using secure devices and networks, promptly notifying LovingSteps of suspected unauthorized access, and offboarding users who should no longer have access.
Each party may receive non-public information from the other party, including business, technical, operational, financial, product, security, healthcare, or customer-related information. Each party agrees to protect the other party confidential information using reasonable care and to use it only for purposes related to the Services, unless disclosure is required by law or authorized in writing.
12. Intellectual Property, Disclaimers, and Liability
LovingSteps and its licensors own the Services, including software, designs, workflows, interfaces, documentation, trademarks, logos, and related intellectual property. Customer Data remains owned by the customer or applicable rights holder.
To the fullest extent allowed by law, the Services are provided "as is" and "as available." LovingSteps disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, and any warranties arising from course of dealing or usage of trade.
To the fullest extent allowed by law, LovingSteps will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, or cost of substitute services. LovingSteps total liability for any claim related to the Services will not exceed the amounts paid to LovingSteps by the customer for the Services during the three months before the event giving rise to the claim.
13. Indemnification, Suspension, and Termination
Customers agree to defend, indemnify, and hold harmless LovingSteps from claims, damages, liabilities, costs, and expenses arising from Customer Data, customer or user misuse of the Services, violation of law or these Terms, clinical or billing decisions, or unauthorized use or disclosure caused by customer-managed users, permissions, devices, or credentials.
We may suspend or terminate access to the Services if fees are not paid when due, a user or customer violates these Terms, use creates a security, legal, privacy, operational, or compliance risk, suspension is required by law or government authority, or continued access could harm LovingSteps, customers, users, patients, or third parties.
Upon termination, access to the Services may end. Data export, retention, return, or deletion may be handled according to the applicable agreement, BAA, law, or LovingSteps retention practices.
14. Governing Law and Order of Control
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, unless another governing law is required by an applicable written agreement or law. Venue for disputes will be in state or federal courts located in Texas, unless otherwise required by law or written agreement.
If there is a conflict between these Terms and another written agreement signed by LovingSteps, the signed agreement controls for that conflict. If there is a conflict between these Terms and a BAA regarding PHI, the BAA controls for that PHI-related issue.
15. Changes and Contact Us
We may update these Terms from time to time. If we make material changes, we will update the effective date and provide notice as required by law or contract. Continued use of the Services after updated Terms become effective means you accept the updated Terms.
